These Terms of Service ("Terms") govern your access to and use of Neural Edge AI, including our website, applications, artificial intelligence-powered analysis features, subscriptions, and related services (collectively, the "Service").
The Service is operated by Midnight Technologies LLC, doing business as Neural Edge AI ("Neural Edge AI," "we," "us," or "our"), a Virginia limited liability company.
By creating an account, purchasing a subscription, accessing, or using the Service, you agree to these Terms. If you do not agree to these Terms, you may not use the Service.
1. Eligibility
You must be at least 13 years old to use Neural Edge AI.
If you are under the age of legal majority where you live, you represent that your parent or legal guardian has reviewed and agreed to these Terms and has authorized your use of the Service.
The Service is not intended for children under 13. You may not use the Service if you are under 13.
2. The Neural Edge AI Service
Neural Edge AI provides artificial intelligence-powered tools designed to analyze gameplay and provide insights, coaching, recommendations, and other information intended to help users understand and improve their gameplay.
Features may include, among other things:
- gameplay and replay analysis;
- match analysis;
- performance insights;
- strategic recommendations;
- AI-generated coaching;
- statistics and comparisons; and
- other esports and gaming-related analysis.
Features may change, be added, removed, limited, or discontinued over time.
3. AI-Generated Analysis
Neural Edge AI uses artificial intelligence and automated systems to generate portions of its analysis and coaching.
AI-generated information may be incomplete, inaccurate, outdated, inconsistent, or incorrect. Neural Edge AI does not guarantee that any analysis, recommendation, prediction, explanation, or other AI-generated output is accurate or will improve your gameplay or competitive results.
You are responsible for evaluating the information provided by the Service and deciding whether and how to use it.
Neural Edge AI's analyses are provided for informational, educational, and entertainment purposes.
4. Match Data and Third-Party Services
Neural Edge AI may retrieve information about matches, players, statistics, and gameplay from third-party services using information such as a match ID.
The Service may rely on third-party platforms, APIs, data providers, artificial intelligence providers, and infrastructure providers to operate. These may include services that provide game data or artificial intelligence functionality.
We do not control third-party services and cannot guarantee their availability, accuracy, completeness, or continued operation.
A third party may modify, restrict, suspend, or discontinue its service or our access to it at any time. As a result, certain Neural Edge AI features may become temporarily or permanently unavailable.
Your use of third-party platforms may also be subject to their respective terms and policies.
5. Game Publisher Disclaimer
Neural Edge AI is an independent service.
Unless expressly stated otherwise, Neural Edge AI is not affiliated with, sponsored by, endorsed by, or associated with Valve Corporation or any other game developer, publisher, esports organization, league, or tournament operator.
Game names, trademarks, logos, characters, artwork, and other intellectual property belong to their respective owners.
References to games or game-related materials are used solely to identify the games and gameplay being analyzed.
6. Accounts
Certain features require a Neural Edge AI account.
You are responsible for maintaining the security of your account and for activity occurring through your account.
You agree to provide accurate information when creating and maintaining your account and to notify us if you believe your account has been accessed without authorization.
You may not sell, transfer, share, or otherwise provide your account to another person in a manner that violates these Terms.
7. Subscriptions
Neural Edge AI may offer free and paid subscription plans.
Paid subscriptions may be offered on a monthly or annual basis. Pricing, included usage, features, and applicable limits will be displayed before purchase.
By purchasing a subscription, you authorize us and our payment processor to charge the applicable subscription fees and taxes using your selected payment method.
Unless otherwise stated during purchase, paid subscriptions automatically renew at the end of each billing period until canceled.
We may change subscription pricing or plan features from time to time. Any price change applicable to an existing subscription will take effect no earlier than your next applicable renewal after any notice required by law.
8. Cancellation
You may cancel a paid subscription at any time through the cancellation options made available by Neural Edge AI or its payment provider.
Unless otherwise stated, cancellation takes effect at the end of your current paid billing period.
You will generally retain access to the features included in your paid subscription until that period ends.
Canceling a subscription does not ordinarily result in a refund for the remaining portion of the billing period.
9. Refunds
Except where required by applicable law, payments are generally non-refundable.
However, we understand that exceptional circumstances may occur. If you believe there is a legitimate reason for a refund, you may contact us at legal@neuraledge.coach.
We may, at our discretion, provide a full or partial refund, credit, or other accommodation on a case-by-case basis.
Providing a discretionary refund in one circumstance does not create an obligation to provide a refund in another circumstance and does not modify this general refund policy.
Nothing in this section limits any refund or cancellation rights that cannot legally be waived.
10. Usage Limits
Subscription plans may include limits on the number of analyses, AI requests, matches, tokens, features, or other resources that may be used during a particular period.
Unused allowances may expire at the end of the applicable period and do not roll over unless Neural Edge AI expressly states otherwise.
We may implement reasonable technical restrictions to enforce plan limits and protect the Service from abuse.
11. Acceptable Use
You agree not to misuse Neural Edge AI.
You may not:
- use the Service for unlawful purposes;
- attempt to gain unauthorized access to Neural Edge AI systems or accounts;
- interfere with or disrupt the Service;
- bypass subscription, usage, security, or access restrictions;
- use automated systems to excessively access or overload the Service without authorization;
- scrape, extract, or systematically reproduce substantial portions of the Service except as expressly permitted;
- reverse engineer the Service except where applicable law expressly permits it;
- use the Service to distribute malware or malicious code;
- impersonate another person or misrepresent your affiliation with another person or organization; or
- use Neural Edge AI in a way that violates applicable law or the rights of another person.
We may investigate suspected abuse and restrict or terminate access where reasonably necessary to protect Neural Edge AI, our users, third parties, or the integrity of the Service.
12. Competitive Play and Game Rules
Neural Edge AI is intended primarily as an analysis and coaching tool.
You are responsible for complying with the rules applicable to any game, matchmaking service, tournament, league, or esports competition in which you participate.
You should not use Neural Edge AI during competitive play where doing so would violate applicable game, tournament, league, or anti-cheat rules.
We are not responsible for penalties, suspensions, bans, disqualifications, or other consequences resulting from your violation of third-party rules.
13. Neural Edge AI Intellectual Property
The Service, including its software, interfaces, designs, branding, proprietary analysis systems, prompts, workflows, databases, and other materials created by Neural Edge AI, is owned by Midnight Technologies LLC or its licensors and is protected by applicable intellectual property laws.
These Terms provide you with a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.
Except where expressly permitted, these Terms do not grant you ownership of Neural Edge AI's intellectual property.
14. Feedback
If you voluntarily provide suggestions, ideas, bug reports, feature requests, or other feedback regarding Neural Edge AI, you grant us permission to use that feedback without restriction or compensation to you.
15. Availability and Changes to the Service
We work to keep Neural Edge AI available and reliable, but we do not guarantee uninterrupted availability.
The Service may occasionally be unavailable because of maintenance, technical problems, third-party outages, game updates, API changes, infrastructure failures, or circumstances outside our control.
We may modify, update, suspend, limit, or discontinue features of the Service.
Where appropriate, we will attempt to provide reasonable notice of significant changes affecting paid services.
16. Beta and Experimental Features
Certain Neural Edge AI features may be identified as beta, preview, experimental, early access, or similar.
These features may be less reliable than generally available features and may be changed or discontinued without notice.
You use experimental features at your own discretion.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURAL EDGE AI AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE."
MIDNIGHT TECHNOLOGIES LLC DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI-GENERATED ANALYSIS OR OTHER INFORMATION PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PARTICULAR PURPOSE.
Some jurisdictions do not permit certain warranty exclusions, so some of these exclusions may not apply to you.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIDNIGHT TECHNOLOGIES LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
THIS INCLUDES, WITHOUT LIMITATION, LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITY, LOSS OF COMPETITIVE RESULTS, ACCOUNT SUSPENSIONS OR GAME BANS, OR RELIANCE ON AI-GENERATED INFORMATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO NEURAL EDGE AI DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(B) $100 USD.
Some jurisdictions do not allow certain limitations of liability, so these limitations may not apply to you to the extent prohibited by applicable law.
19. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Midnight Technologies LLC and its members, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful misuse of the Service, your material violation of these Terms, or your infringement of another person's rights.
20. Suspension and Termination
We may suspend or terminate your access to Neural Edge AI if you materially violate these Terms, misuse the Service, engage in fraudulent activity, create security risks, or use the Service in a manner that could reasonably harm Neural Edge AI, its users, or third parties.
We may also discontinue the Service or terminate accounts for legitimate operational or legal reasons.
Where reasonably practicable, we will attempt to provide notice before terminating a paid account for reasons unrelated to misconduct.
You may stop using Neural Edge AI at any time.
21. Governing Law
These Terms and disputes arising out of or relating to them are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles.
To the extent permitted by applicable law, you and Midnight Technologies LLC agree that disputes arising from these Terms or the Service will be brought in the state or federal courts having jurisdiction in the Commonwealth of Virginia, and each party consents to the jurisdiction of those courts.
Nothing in these Terms eliminates consumer rights or remedies that cannot legally be waived.
22. Changes to These Terms
We may update these Terms as Neural Edge AI and applicable laws evolve.
When we make material changes, we may provide notice through the Service, by email, or through another reasonable method.
The updated Terms will identify their effective date.
Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
If you do not agree to updated Terms, you should stop using the Service and cancel any active subscription.
23. Severability
If a provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
24. Entire Agreement
These Terms, together with any policies or additional terms expressly incorporated into them, constitute the agreement between you and Midnight Technologies LLC concerning your use of Neural Edge AI.
